Today, we'll focus on the gambling industry, given recent developments and international mergers.

Big mergers often look simple when they are announced. Two companies combine, the numbers get bigger, the international footprint expands, and the presentation promises a more powerful business. The Lottomatica–CIRSA deal has all those ingredients. But the interesting part is not simply the size of the future group. It is whether the companies can make two different businesses work well together once the paperwork is finished.
Lottomatica is the Italian name in this story, with a strong position in its home market and a developed online operation. CIRSA brings something different: a substantial network of casinos and gaming venues, a presence across several countries and a business model that still relies more heavily on physical operations. On paper, that combination makes sense. One company has digital experience; the other offers international reach and a broad land-based business. The hope is that each can help the other become more effective.
The boards approved the common merger plan on October 8, but this is not yet a completed deal. Lottomatica's shareholders are expected to vote on November 23, while CIRSA's meetings are scheduled for November 25 and 26. The companies are targeting the second quarter of 2027 for completion, assuming the required approvals and conditions are met.
One detail worth keeping straight is the money involved. The transaction is an all-share deal, with CIRSA shareholders expected to receive 0.668 new Lottomatica shares for each CIRSA share. Blackstone, CIRSA's main shareholder, is expected to own about 24% of the combined group. That would make it the largest individual shareholder, not the majority owner.

The financial ambitions are large. Lottomatica has outlined a plan to return up to €4 billion to shareholders over three years through dividends and buybacks. The transaction also includes a special dividend of about €262 million for CIRSA shareholders. These are not the same payment, and the wider capital-return target should not be mistaken for money already distributed. It is an ambition that will depend on future performance and financial conditions.
Then there are the synergies. The companies estimate around €115 million in annual pre-tax savings once the benefits are fully implemented. Lottomatica also sees the possibility of adding €200 million to €300 million in annual online EBITDA at run rate by the third year after closing, by developing CIRSA's digital business. These figures are worth watching, but they are forecasts. They still have to survive the less glamorous reality of integrating systems, people, technology and operations.
That is where I think the story becomes more interesting than the headline. A larger company can negotiate better, spread costs over a wider business and invest more in technology. But a merger can also consume management time, create duplicated functions and bring unexpected expenses. The real achievement would be to combine the strengths of both businesses without losing the qualities that made them successful in the first place.
There is also the question of debt and shareholder returns. A generous dividend plan sounds attractive, especially to investors looking for income, but the long-term value of a merger depends on more than distributions. The group will need to fund its operations, invest in digital services, manage its balance sheet and meet regulatory obligations across different countries. Those priorities can sometimes compete with each other.
Regulation is another major piece of the puzzle. Gaming is not a normal consumer industry: licensing rules, advertising restrictions, tax treatment and responsible-gambling requirements vary from country to country. The companies have filed the required notifications with several authorities, but filing is not the same as receiving final clearance. The transaction still has to pass through the relevant regulatory process.

And there is a wider issue that should not disappear behind the financial figures. Gambling is legal in many markets, but it can cause serious harm when it becomes compulsive. A larger operator should be judged not only on earnings and market share, but also on how well it protects customers, prevents underage gambling and makes tools such as self-exclusion and deposit limits effective and accessible.
For now, the merger is a plan with a clear strategic logic, but it remains a plan. The shareholder votes are next, followed by the remaining regulatory steps. If everything proceeds as expected, the real integration will begin in 2027. Only then will it become possible to judge whether the combination creates a stronger business or simply a larger one.
